Requirements for Assignment让与的要求: (1) certain language has to be used to indicate a PRESENT assignment as: “I assign”一些语言上的表达需要展示出你这个时候想要让与，并不一定要说一样的字，任何接受转换的的字都可以，未来的承诺或者期望不算。

Assignee can sue the Obligor受让人可以告债务人。如果洛杉矶市不付薪水给小李，他可以告洛杉矶市吗？可以。

Obligor’s Defenses against Assignee: any defenses the Obligor has against the Assignor can be raised against the Assignee债务人对于让与人和受让人可以使用相同的辩护，因为让与人和受让人在同一条船上。如果老王没有很好的履行服务责任，小李能在洛杉矶市拿钱吗？不能，因为他俩在一条船上。

Modification by Obligor and Assignor can be made UNTIL the Obligor hasreceived notice of the assignment 债务人和让与人可以调整合同直到债务人收到让与的通知后。当债务人收到通知了，任何企图调整合同的举动都不会影响受让人的权利。洛杉矶市和老王可以调整他们的合同吗？可以，在老王让与小李之前都可以。

Payment to Assignor支付给让与人: if Obligor makes the payment to Assignor BEFORE being notified of Assignor’s assignment to the Assignee如果债权人给让与人款项，是在被告知让与人把权利转给受让人之前, then the debt is discharged 那么这种债务是不存在的 (that is ok to keep paying the Assignor 给钱给让与人是可以的); BUT any payment made to the Assignor AFTER notice has been given to the Obligor of the assignment to the Assignee does NOT discharge the Obligor’s debt但是如果这种支付是在让与人通知债务人之后发生的话，受让人无法逃脱债务人的债务。这样讲比较好，在老王让与了权利之后，洛杉矶市要继续支付酬劳给老王吗？是的，除非洛杉矶市没有收到小李的通知，当洛杉矶市收到小李的通知之后，洛杉矶就必须要支付给小李了。

Assigneen受让人之间也是可以互相诉讼的。如果是礼物性质的赠与，是随时可以更改的。但是，让与人必须跟受让人或者债务人直接沟通。非直接沟通也行，其中包括，其中有一方去世或者破产，让与人直接与债务人沟通，或者请让与人随后写一个补充协议。无论如何都是以最终的版本为主。老王一月十日把洛杉矶市的合同的收入都给小李了。可是四月十日的时候，老王又把合同作为礼物给了小张。那么最终谁有多的权利呢？小张，因为以最终的让与为主。
